Terms of Service — Business Customers (B2B)

Preamble

These Terms of Service ("Terms") govern the contractual relationship between MagicMetrics S.r.l.s. ("MagicMetrics", "we") and customers who purchase the Service in the exercise of business, trade, or professional activities ("Customer").

By accepting these Terms, the person completing the registration declares that they have full authority to legally bind the organisation on whose behalf they are acting.

If you are purchasing for personal use and not in the exercise of professional activities, the B2C Terms of Service apply.

This document includes and incorporates the Data Processing Agreement (DPA) set out in Annex A, which the Customer accepts simultaneously with acceptance of these Terms.

1. The Service

Magic Reports is a Google Sheets add-on that allows you to retrieve, display, and automatically update data from connected analytics sources (Google Analytics 4, Google Search Console, Google AdSense, YouTube Analytics, Google Ads, and other available connectors).

The Service is distinct from the free add-on GA4 Magic Reports, which is subject to its own separate terms.

2. Registration and Account

The Customer must create an account on magicmetrics.ai providing accurate, complete, and up-to-date information, including company name, VAT number or equivalent tax identifier, and billing address. The Customer is responsible for keeping login credentials confidential and for all activities carried out through their account and those of authorised users.

3. Free Trial Period

Every new account is entitled to a 14-day free trial period ("Trial"), with access to the features of the selected plan at no charge. The Trial does not automatically renew upon expiry and ends automatically after 14 days with no charge. It can be converted into a paid subscription at any time.

Upon expiry without conversion, access to paid features is suspended. Configuration data is retained for 90 days.

Early conversion: Conversion from Trial to a paid subscription takes effect immediately from the date of purchase. Any remaining Trial period at the time of purchase is not accumulated, transferred, or refunded. The first billing period starts from the date of purchase, regardless of unused Trial days.

4. Plans and Pricing

The Service is available in the following plans: Basic (core features, limited number of connections), Growth (advanced features, additional connections, more frequent updates), Agency (full features, multiple connections, high-frequency updates), Custom (personalised plan agreed in writing).

Details of each plan are available at magicmetrics.ai/pricing. MagicMetrics reserves the right to change prices with 30 days' notice. For Customers with active contracts, price changes take effect at the first renewal date following the notification.

5. Subscription and Automatic Renewal

5.1 Subscription. By completing the purchase process, the Customer subscribes to an automatically renewing subscription ("Subscription"). The contract is deemed concluded upon payment confirmation.

5.2 Automatic renewal. The Subscription automatically renews at the end of each period (monthly or annual) for an equal period, unless explicitly cancelled within the terms set out in point 5.4. Renewal occurs by automatic charge at the price in force. The Customer receives email notification at least 7 days before the renewal date for monthly subscriptions and at least 60 days before for annual subscriptions.

5.3 Price at renewal. MagicMetrics may adjust the price at renewal by communicating the change by email at least 30 days in advance. Failure to cancel within the stated terms constitutes acceptance of the new price.

5.4 Cancellation. The Customer may cancel the Subscription from the dashboard, under "Subscription". For monthly subscriptions, cancellation must be completed by 23:59 (Italian time) on the 7th day before the renewal date. For annual subscriptions, by 23:59 (Italian time) on the 60th day before the renewal date. Cancellation within the deadline prevents automatic renewal. Access remains active until the end of the already paid period. Cancellation after the deadline does not prevent renewal and does not entitle the Customer to a refund for the remaining period.

5.5 Refund for missed notice. If MagicMetrics fails to send the renewal notification within the terms set out in point 5.2, the Customer is entitled to a full refund of the amount charged, provided the request is submitted within 14 days of the charge to legal@magicmetrics.ai.

6. Billing and Payments

Payments are processed by Stripe Inc. The Customer authorises MagicMetrics to charge the registered payment method for all renewals until cancellation. MagicMetrics issues an invoice for each charge. The Customer is responsible for the accuracy of the tax details provided. For customers with an EU VAT number, the reverse charge mechanism applies where required by applicable law.

In the event of a failed charge, MagicMetrics notifies the Customer and retries up to 3 times within 7 days. After 7 days without resolution: Service suspension. After 30 days from suspension: contract termination for non-performance. Unpaid amounts accrue late payment interest pursuant to Italian Legislative Decree 231/2002 from the due date.

7. Usage Limits

Each plan includes specific limits on connections, update frequency, and executions. Exceeding the limits results in suspension of the excess features. The Customer must comply with the Acceptable Use Policy available at magicmetrics.ai/aup, which forms an integral part of these Terms.

8. Customer Obligations

The Customer undertakes to: provide and keep updated accurate information, including tax details; ensure that authorised users comply with these Terms and the AUP; use the Service exclusively to access data sources for which they hold legitimate authorisation; not exceed plan limits through multiple accounts or other technical means.

9. Intellectual Property

MagicMetrics holds all intellectual property rights over the Service. These Terms do not transfer any intellectual property rights to the Customer. Analytics data retrieved through the Service remains the property of the Customer or the respective owners. MagicMetrics claims no rights over such data.

10. Service Availability and Limitation of Liability

10.1 Availability. MagicMetrics endeavours to ensure maximum availability of the authentication and subscription verification endpoint. No specific minimum uptime level is guaranteed, unless otherwise agreed in writing for Custom plans.

10.2 Dependency on third-party services. The Service depends on third-party APIs and infrastructure (Google Sheets, Google Analytics, Google Search Console, YouTube, AdSense, Google Ads, Google Cloud Platform). For direct connectors (GA4, Search Console, AdSense, YouTube), data is exchanged directly between the Customer's Google Sheets and Google's servers, without passing through MagicMetrics servers. MagicMetrics is not responsible for outages, changes, or limitations imposed by such third-party services.

10.3 Limitation of liability. MagicMetrics is not liable for: malfunctions caused by third-party services; loss of data caused by errors in connected data sources; business decisions made based on data viewed through the Service; indirect, consequential damages, loss of profit, or loss of data. MagicMetrics's total liability to the Customer, for any cause, shall not exceed the total amounts paid in the 12 months preceding the event giving rise to the liability.

11. Confidentiality

Each party undertakes to keep the other party's confidential information strictly confidential and not to disclose it to third parties without prior written consent. The confidentiality obligation survives the termination of the contract for a period of 3 years.

12. Suspension and Termination

MagicMetrics may immediately suspend the Service in the event of a serious violation of these Terms or the AUP. For non-serious violations, MagicMetrics provides 15 days' notice during which the Customer may remedy the issue. In the event of termination for Customer's non-performance, no refunds are due for the remaining period.

13. Changes to the Terms

MagicMetrics communicates material changes to the Terms with at least 30 days' notice by email. Continued use of the Service after the effective date of the changes constitutes acceptance. If you do not accept the changes, the Customer may withdraw without penalty within the notice period.

14. Governing Law and Jurisdiction

These Terms are governed by Italian law. For any dispute, the exclusive jurisdiction is the Court of Livorno.

Annex A — Data Processing Agreement (DPA)

This DPA governs the processing of personal data carried out by MagicMetrics S.r.l.s. ("Processor") on behalf of the Customer ("Controller") in the context of the provision of the Service, pursuant to Art. 28 of Regulation (EU) 2016/679 ("GDPR").

This DPA applies exclusively to the extent that the Customer, in using the Service, transmits to MagicMetrics personal data of third parties of which the Customer is the Controller. It does not apply to the processing of the Customer's own personal data carried out by MagicMetrics as an independent Controller (e.g. account data, billing), which is governed by the Privacy Policy.

A.1 Subject Matter and Nature of Processing

Nature: retrieval and transmission in volatile memory of analytics data from connected sources to the Controller's Google Sheets. For direct connectors (GA4, Search Console, AdSense, YouTube), data does not pass through MagicMetrics servers. For server-side connectors (Google Ads), data passes through volatile memory and is not stored.

Purpose: provision of the Magic Reports Service in accordance with the Controller's instructions.

Types of data: behavioural and analytics data of the Controller's end users present in the connected sources (e.g. sessions, events, conversions, search queries, advertising data).

Categories of data subjects: end users of the Controller's websites, apps, or digital properties.

Duration: for the entire duration of the Service contract.

A.2 Obligations of MagicMetrics as Processor

MagicMetrics undertakes to: (1) process personal data exclusively on the basis of the Controller's documented instructions, unless otherwise required by law; (2) ensure that authorised personnel are bound by confidentiality obligations; (3) implement appropriate technical and organisational measures pursuant to Art. 32 GDPR; (4) not engage further sub-processors beyond those listed in Annex A.3 without the Controller's prior written authorisation; (5) assist the Controller in fulfilling obligations relating to data subjects' rights; (6) notify the Controller of any personal data breach within 72 hours of discovery; (7) delete or return all personal data upon termination of the contract within 30 days; (8) make available all information necessary to demonstrate compliance with this DPA and allow reasonable audits with at least 30 days' notice and at the Controller's expense.

A.3 Authorised Sub-processors

The Controller authorises MagicMetrics to engage the following sub-processors: Google Cloud Platform (EU, hosting infrastructure, safeguards: SCC, ISO 27001, ISO 27018); Stripe Inc. (USA, payment processing, safeguards: SCC, PCI-DSS); Google LLC (USA, connected data source APIs, safeguards: SCC, Google Cloud DPA).

MagicMetrics will notify the Controller of any changes to sub-processors with at least 30 days' notice. The Controller may object in writing within that period. In the absence of objection, the change is deemed approved.

A.4 International Transfers

Transfers to third countries take place exclusively by means of Standard Contractual Clauses (SCC) approved by the European Commission pursuant to Art. 46 GDPR. MagicMetrics's computing servers are physically located within the European Union.

A.5 Security Measures

MagicMetrics implements the following measures: encryption of data in transit (TLS 1.2+); encryption of stored OAuth tokens at rest; multi-factor authentication for technical staff; least-privilege principle for internal access; continuous infrastructure monitoring; stateless architecture for analytics data (no permanent storage); logical separation of data between different customers.

A.6 Governing Law

This DPA is governed by Italian law and the GDPR. For any dispute, the competent court is the Court of Livorno.
